These terms apply to Notulous, the project, time tracking and client management service at notulous.com. Notulous is offered by [COMPANY NAME], registered with the Dutch Chamber of Commerce (KvK) under number [KVK NUMBER], VAT number [VAT NUMBER], at [ADDRESS] ("Notulous", "we", "us").
By creating a workspace or using Notulous you accept these terms on behalf of the organisation you represent ("you", "the customer"). Our privacy policy and the data processing agreement are part of these terms.
1. Who can use Notulous
Notulous is a service for businesses and other organisations. It is not offered to consumers.
The person who creates a workspace must be authorised to accept these terms for the organisation.
You must be at least 16 years old to use Notulous.
2. Your workspace and users
A workspace has its own address (for example yourname.notulous.com) and its own database.
The admins of a workspace decide who gets access: members of your team, and guests such as your clients. You are responsible for what the users you invite do in your workspace.
Keep sign-in details safe and don't share accounts. We recommend two-factor sign-in for every user, and for admins in particular.
Tell us right away at hello@notulous.com if you think someone got into your workspace who shouldn't have.
3. Plans, the trial and prices
Plans. The plans, their limits and their prices are shown on notulous.com and in your workspace under Settings › Billing.
Trial. A new workspace on a paid plan starts with a free trial for the period shown at signup. No payment details are needed for the trial. If it ends without payment details, the workspace is suspended (see section 6).
Users. Paid plans are priced per user per month. Only active members of your team count; guests (such as your clients) and deactivated users don't. Where a plan has a monthly maximum, you never pay more than that maximum, however many users you add.
Prices are in euros and exclude VAT. VAT is added where it applies, based on the company details you give us.
Discounts given with an invite code, such as the founding discount, apply as stated with the code. A discount "for life" stays for as long as the workspace keeps an uninterrupted paid subscription.
4. Payment
Payments are handled by our payment provider, Stripe. You pay monthly in advance, or yearly where that is offered, with the payment method you set up.
When the number of users changes during a period, the difference is charged or credited pro rata on the next invoice.
If a payment fails, we let you know and try again for 7 days. If it still fails, the workspace is suspended until the invoice is paid.
Invoices are sent by email and can be downloaded under Settings › Billing.
5. Changes to prices
We may change prices. We announce a change at least 30 days in advance, by email to the workspace's billing contact. It applies from your first billing period after that notice; a yearly subscription keeps its price until it renews. If you don't agree, you can cancel before the change takes effect.
6. Cancelling, suspension and deletion
You can cancel at any time under Settings › Billing. The subscription then ends at the end of the period you paid for. We don't refund the rest of a period, unless the law requires it.
When a workspace ends or is suspended (after cancelling, an unpaid invoice, or a trial without payment details), nobody can use it, but its data is kept for 30 days. Within those 30 days you can reactivate it by paying.
After those 30 days we delete the workspace and all of its data. We email the billing contact before that happens. Copies in our backups are deleted within another 30 days.
You can export your workspace at any time while it's active, under Settings. There is no fee for leaving.
7. Your content
Everything you and your users put in Notulous (issues, comments, notes, files, time entries and so on) stays yours.
You give us the right to store, copy and show that content only as far as needed to provide Notulous to you, and for no other purpose.
For personal data in your workspace, you are the controller and we are your processor. The data processing agreement describes how we handle it.
You are responsible for having the right to put the content in Notulous, and for it being lawful.
8. Acceptable use
You won't use Notulous to:
break the law, or infringe the rights of others;
store or send malware, spam or other unlawful content;
try to get into workspaces, accounts or systems that aren't yours, or test our security without our written permission;
put an unreasonable load on the service, or get around its limits, for example with automated signups;
resell Notulous, or copy it to build a competing service.
If a workspace is used in breach of this section, we may suspend it or the users concerned. Where we can, we warn you first and give you the chance to put it right.
9. Availability, changes and support
We do our best to keep Notulous available and secure, and back it up every hour. Planned maintenance that could cause downtime is announced in advance. Unless agreed in writing (for example on the Enterprise plan), we don't guarantee a specific availability.
We keep improving Notulous and may change or remove features. If we remove an important feature of a paid plan, we tell you at least 30 days in advance, and you may then cancel with a pro rata refund of a prepaid period.
Support is by email at hello@notulous.com. The Studio and Enterprise plans get priority.
10. Integrations
Notulous can connect to other services, such as Slack, Google sign-in, and imports from Jira, Asana and Trello. When you connect one, that service's own terms apply to it, and you allow us to exchange the data the connection needs. We are not responsible for those services.
11. Liability
Our total liability under these terms is limited to the amount you paid us in the 12 months before the event that caused the damage, with a maximum of €[LIABILITY MAXIMUM].
We are not liable for indirect damage, such as lost profit, lost savings, damage from business interruption, or the loss of data you could have restored from an export.
These limits don't apply if the damage was caused by our intent or deliberate recklessness (opzet of bewuste roekeloosheid).
You must report damage to us in writing within 12 months of discovering it. After that, the claim expires.
12. Changes to these terms
We may change these terms. We announce changes at least 30 days before they take effect, by email to the admins of your workspace and on this page. If you don't agree, you can cancel before they take effect. Changes that the law requires, or that don't affect you negatively, can apply sooner.
13. Law and disputes
Dutch law applies to these terms and to the use of Notulous. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. Disputes go to the competent court in the district where [COMPANY NAME] has its registered office, unless the law requires otherwise.
